These Terms, together with each accepted quote, booking confirmation, work order, recurring-service disclosure, payment authorization, specialty-service addendum, and other written service authorization, form the agreement between the Company and the Client (the “Agreement”). Nothing in the Agreement waives a right or remedy that cannot lawfully be waived.

1. Definitions

1.1 “Authorized Contact” means a person the Client identifies as authorized to approve Services, additional work, scheduling changes, and charges.

1.2 “Cleaning Visit” or “Visit” means a scheduled attendance at the Property to perform Services.

1.3 “Client” means the person or legal entity identified in the Service Order. A person booking for another person or entity represents that the person has authority to bind that Client.

1.4 “Commercial Client” means a Client purchasing Services primarily for business, organizational, property-management, governmental, or commercial purposes.

1.5 “Company” means Robert Andrew Torres, an individual doing business as COZY KEPT, including authorized employees and agents when the context requires.

1.6 “Consumer Client” means an individual purchasing Services primarily for personal, family, or household purposes.

1.7 “Property” means the service location stated in the Service Order.

1.8 “Service Order” means an accepted estimate, quote, booking confirmation, proposal, work order, recurring-service enrollment, or other written description of the Services.

1.9 “Services” means only the cleaning or related work specifically listed in the applicable Service Order.

1.10 “Service Personnel” means the employees and other lawful service providers assigned by the Company.

2. Agreement, Authority, and Electronic Acceptance

2.1 The Company will provide or make these Terms reasonably available before the first Visit. The Client accepts the Agreement by signing it, selecting an electronic acceptance box, electronically signing a Service Order, or sending a written or electronic response expressly confirming acceptance.

2.2 Telephone requests alone do not modify the written Agreement. When a booking is made by telephone, the Company may send the Agreement electronically and require written or electronic confirmation before the Visit.

2.3 The person accepting the Agreement represents that the person is at least 18 years old, has authority to authorize Services at the Property and bind the Client, and is responsible for payment unless the Company expressly agrees in writing to bill someone else.

2.4 Order of precedence. In a direct conflict, a signed specialty addendum controls, followed by the applicable accepted Service Order, these Terms, and then any checklist or priority list. A checklist does not change booked time, pricing, exclusions, or legal terms unless the Company expressly approves the change in writing.

2.5 Service Personnel cannot change prices, waive charges, make side agreements, or add material Services. An Authorized Contact may approve additional work by email, text message, Jobber approval, or another written electronic method.

2.6 Electronic records, signatures, acceptance logs, emails, text messages, photographs, and payment records may be used to prove the Agreement and the parties’ communications.

3. Scope and Service Standard

3.1 The Company will perform only the Services listed in the Service Order. Anything not listed is excluded.

3.2 For hourly or time-limited Services, the Company will use reasonable efforts to address the Client’s stated priorities within the booked time. A priority list does not guarantee completion of every requested task.

3.3 Cleaning is not repair or restoration. The Company does not guarantee removal of permanent stains, discoloration, mineral etching, rust, mold staining, odors embedded in materials, wear, damage, or conditions that ordinary cleaning cannot reasonably correct.

3.4 Unless expressly included, Services do not include:

• laundry, bedding, or linen service;

• moving furniture, appliances, or items weighing more than 25 pounds or requiring more than one person;

• roof access, elevated exterior work, or specialized ladders;

• repair, installation, restoration, construction, painting, maintenance, or pest-control work;

• mold, asbestos, lead, sewage, hazardous-material, crime-scene, pest, or biohazard remediation;

• needles, medical waste, significant bodily fluids, unusual animal waste, weapons, illegal substances, or hazardous chemicals;

• handling cash, jewelry, medications, legal documents, firearms, collectibles, or irreplaceable items;

• inside locked cabinets, safes, personal containers, or private storage;

• construction debris or unusually heavy trash; or

• any task prohibited by law or presenting an unreasonable safety risk.

3.5 Window cleaning, solar-panel cleaning, gutter cleaning, post-construction cleaning, hard-water treatment, enhanced sanitation, and window-covering cleaning are included only when expressly listed and may require a specialty addendum.

3.6 Time estimates and arrival windows are approximations. Property condition, access, staffing, weather, traffic, and approved changes may affect completion.

4. Quotes, Approval, Scheduling, Labor-Hours, Rates, and Additional Work

4.1 Unless stated otherwise, quotes are valid for 30 days and are based on the information, photographs, measurements, access details, timing requirements, and Property condition disclosed by the Client. A quote includes only the Services expressly listed in it.

4.2 Quote approval required. A requested service date, calendar entry, automated reminder, access instruction, request for a quote, invitation to bid, work request, or request to issue a purchase order does not by itself approve a quote or create a confirmed appointment. Approval requires an unambiguous written or electronic authorization from an Authorized Contact through Jobber, a signed quote or Service Order, an email or text expressly approving the identified quote, or a purchase order that specifically references and authorizes the quote, together with any required deposit. Silence or failure to respond is not approval.

4.3 Tentative scheduling. The Company may place a requested date on its calendar as a courtesy while approval is pending. Any such date remains tentative, regardless of how scheduling software labels it, and does not obligate the Company to reserve labor, equipment, or availability. Before approval, the Company may release the date without liability, including when another Client confirms the same time. Only a written confirmation issued by the Company after quote approval creates a confirmed Cleaning Visit.

4.4 Approval deadline. Unless the quote or Company states a different deadline in writing, approval must be received at least 48 calendar hours before the scheduled arrival window. When a quote is requested or issued less than 48 hours before the requested date, approval must be received by the deadline stated by the Company and in all events before dispatch. If timely approval is not received, the Company may decline to dispatch, cancel or release the tentative date, and offer the next available appointment after approval. The originally requested date is not guaranteed.

4.5 Approval of a quote authorizes the written scope and pricing but does not guarantee a particular date unless the Company also confirms that date in writing. Client-requested changes after confirmation remain subject to availability and the cancellation and rescheduling provisions of this Agreement.

4.6 An expired quote may be withdrawn or revised to reflect current pricing, labor availability, access requirements, Property condition, or requested scope.

4.7 If the actual size, condition, occupancy, contamination, clutter, pet hair, soil or mineral buildup, construction debris, access, timing requirement, or scope materially differs from what was disclosed, the Company may issue a revised price, adjust labor or timing, perform only the original scope, request written approval to continue hourly, or stop or postpone the work. The Company will seek approval before material additional work whenever reasonably practicable. If a material condition was not reasonably disclosed before dispatch, the Client remains responsible for work already performed, disclosed travel or mobilization charges, and any valid cancellation or denied-access charge.

4.8 Quote accuracy commitment. If the Client materially and accurately disclosed the Property and requested work, the quote is approved before expiration, and the scope and conditions have not changed, the Company will honor the approved quoted price. This commitment does not include legally required taxes, approved additional work, disclosed pass-through expenses, or adjustments permitted by Section 4.7.

4.9 One labor-hour means one Service Personnel member working for one hour. Two personnel working for one clock hour equals two labor-hours.

4.10 Unless the Service Order states a greater minimum, each Visit carries a two labor-hour minimum charge.

4.11 Additional work is billable when requested or approved by an Authorized Contact. The Company should document approval through Jobber, email, text message, or another written method whenever reasonably possible.

4.12 The Client is responsible for actual parking charges, tolls, permits, and specifically requested materials when disclosed in advance or reasonably necessary to complete authorized work. Other out-of-pocket expenses over $25 require advance approval unless immediately necessary to prevent damage or address a safety condition.

4.13 Taxes will be charged only when legally required.

4.14 Rates may vary with Property size, condition, access, frequency, staffing, specialty requirements, booked time, and changes in scope.

5. Scheduling, Access, Utilities, and Keys

5.1 Confirmed appointment times may be stated as arrival windows. A reasonable delay caused by traffic, prior jobs, weather, emergencies, or circumstances outside the Company's control is not a breach.

5.2 The Client must provide safe and timely access, including working keys or codes, alarm instructions, required building authorization, lawful parking information, working electricity and hot and cold water, adequate lighting, and a reasonably safe indoor temperature.

5.3 Waiting time beyond 15 minutes may be billed at the applicable rate. If access is not provided, the Visit may be treated as a late cancellation or denied-access appointment.

5.4 A denied-access charge may apply when entry is prevented by a nonworking key or code, active alarm, building refusal, incorrect address, unsecured animal, or another condition controlled by the Client.

5.5 Client-requested key pickup or drop-off at a third-party location costs $20 per trip, plus actual parking or toll charges, unless a Service Order states otherwise.

5.6 The Company may assign or substitute Service Personnel and does not promise the same individual or team for every Visit.

6. Client Responsibilities and Safety

6.1 Before the Visit, the Client must disclose any condition affecting safety, scope, methods, or pricing, including aggressive animals, infestation, mold, asbestos, lead, sewage, bodily fluids, needles, hazardous waste, loose or unsealed surfaces, fragile or valuable property, malfunctioning utilities, structural instability, security restrictions, product sensitivities, and weather or access conditions affecting exterior work.

6.2 Pets must be safely secured away from work areas. The Company may leave or stop work when an animal is loose, aggressive, disruptive, or otherwise unsafe.

6.3 The Company does not supervise children, pets, vulnerable adults, contractors, occupants, or visitors. The Client must arrange appropriate supervision.

6.4 The Client must remove or secure cash, jewelry, firearms, medications, documents, collectibles, heirlooms, fragile decorations, and other valuable or irreplaceable items.

6.5 The Client must disclose any audio or video recording devices operating in work areas. The Client may not record confidential audio communications involving Service Personnel without all consent required by law. The Company may stop or decline Service when undisclosed recording creates a legal, privacy, or safety concern.

6.6 The Company may stop, postpone, or refuse Services that it reasonably considers unsafe, unlawful, materially different from what was disclosed, or outside scope. When the condition is within the Client’s control, the Client remains responsible for completed work and applicable minimum, mobilization, cancellation, or denied-access charges.

7. Products and Equipment

7.1 Unless otherwise agreed, the Company selects and provides ordinary cleaning supplies and equipment.

7.2 When the Client requests a specific product or Client-owned equipment, the Client must provide it in safe working condition with original labeling, instructions, accessories, and warnings.

7.3 The Company may refuse any product or equipment it reasonably considers unsafe, defective, inappropriate, unlabeled, or outside normal practice.

7.4 To the extent permitted by law, the Company is not responsible for damage caused by an inherent defect, inadequate maintenance, incorrect Client instructions, or an unforeseeable adverse effect of a Client-required item. This does not excuse negligent misuse by the Company.

7.5 The Company does not guarantee an allergen-free or chemical-free environment. The Client must disclose sensitivities before Service.

8. Payment and Collection

8.1 Unless the Service Order states otherwise, Consumer Client invoices are due upon completion and Commercial Client invoices are due within seven calendar days after the invoice date.

8.2 Accepted payment methods are those shown on the invoice or payment portal. Cash is valid only when the Company issues a receipt.

8.3 A payment method may be charged only under a separate signed or electronically authenticated authorization covering the applicable types of charges. Revoking future recurring-charge authority does not cancel charges already earned or otherwise lawfully due.

8.4 The Company may place a reasonable preauthorization hold or require a disclosed deposit. Deposits will be applied to amounts due, and any retained portion will be limited to valid charges, actual costs, or damages permitted by law.

8.5 The Client should identify disputed invoice items promptly in writing and explain the basis. Undisputed portions remain due. Nothing here shortens a nonwaivable legal deadline or right.

8.6 Overdue amounts may accrue simple interest at the lower of 10 percent per year or the highest lawful rate, beginning after the payment obligation is in breach.

8.7 Returned checks or electronic payments may be subject to actual bank charges and any service charge permitted by law.

8.8 The Company may recover reasonable collection-agency costs, filing fees, service costs, and court costs actually incurred to collect a valid overdue balance, but only to the extent permitted by law. Attorney’s fees may be recovered only when authorized by applicable law, court order, or a separately negotiated signed agreement.

8.9 The Company may suspend future Services, require a deposit or prepayment, or remove credit terms when invoices are overdue or payments are repeatedly late.

8.10 The Client retains lawful chargeback, stop-payment, and payment-dispute rights. A chargeback or reversal does not by itself erase a valid underlying debt. The Company may respond with Service Orders, acceptance records, communications, photographs, access logs, and other relevant evidence.

9. Consumer Recurring Services

Required enrollment process: When a Consumer Client enrolls in recurring Services, the enrollment form must display the frequency, recurring price or pricing method, cancellation policy, minimum obligation, and cancellation methods next to an unchecked consent box. These Terms do not create a 12-month consumer commitment.

9.1 Recurring Consumer Services continue at the frequency and price stated in the accepted enrollment until canceled.

9.2 A Consumer Client may cancel future recurring Services at any time by email to support@cozykept.com, telephone at (559) 321-1963, the immediately accessible cancellation email link provided during enrollment or on the Terms webpage, or the same medium ordinarily used to communicate with the Company. A Visit already inside the cancellation period remains subject to Section 10.

9.3 The Company will provide a retainable acknowledgment of recurring terms and cancellation methods and will maintain consent records for the legally required period.

9.4 The Company will provide notices of material changes, fee changes, annual reminders, and online or same-medium cancellation options when required by law.

9.5 A Consumer Client is not charged an early-termination fee merely for ending future recurring Services.

9.6 A Commercial Client may enter a fixed term only through a separately signed Service Order or master services agreement. Without a stated commercial term, recurring Commercial Services are month to month and may be ended on 30 days’ written notice.

9.7 The entire unpaid gross price of unperformed future Services does not automatically become due upon termination unless a separately negotiated commercial agreement lawfully and expressly provides otherwise.

10. Cancellation, Rescheduling, and Denied Access

10.1 “Scheduled Visit Price” means the accepted flat price or, for hourly work, the booked labor-hours multiplied by the agreed rate, subject to the minimum. Notice is measured in calendar hours before the scheduled arrival window.

10.2 Rescheduling within the applicable notice period is treated as a cancellation unless the Company agrees otherwise in writing.

10.3 The parties acknowledge that late cancellations cause losses difficult to determine at booking, including reserved labor, scheduling disruption, travel, administration, and lost opportunity. The schedule is intended as a reasonable estimate, not a penalty.

10.4 The Company will not collect more than the Scheduled Visit Price and will reduce the charge by material costs actually avoided and replacement revenue directly attributable to filling the same appointment slot.

10.5 The Company may waive a fee for a documented emergency, but one waiver does not require another.

10.6 If the Company cancels, it will offer reasonable rescheduling or refund an amount prepaid specifically for the unperformed Visit. Except where law requires otherwise, the Company is not responsible for indirect losses caused by rescheduling.

10.7 Holiday or premium rates apply only when disclosed and accepted before booking.

11. Satisfaction Guarantee and Refunds

11.1 To request a complimentary re-clean, the Client must notify the Company within 24 hours after completion, identify the specific included area or checklist item, and provide photographs when reasonably available.

11.2 The guarantee applies only when the item was included, the condition has not materially changed, no person or pet has re-soiled or altered the area, the issue can be corrected through the originally agreed method, and the Client provides reasonable access.

11.3 The Company receives one reasonable opportunity to inspect and re-clean the affected area at no additional labor charge at a reasonably available time.

11.4 The guarantee does not cover permanent stains, damage, wear, restoration, inaccessible areas, excluded tasks, or results the Company advised could not be guaranteed.

11.5 Completed Services are generally nonrefundable after the Company has performed them and received a reasonable opportunity to correct a covered quality issue. If the Company cannot or elects not to correct it, the Company may issue a reasonable credit or refund for the affected portion. Any remedy required by law remains available.

11.6 The 24-hour period governs only the complimentary re-clean guarantee. It is not an automatic waiver of latent property-damage claims or nonwaivable legal rights.

12. Property Damage, Loss, and Claims

12.1 The Client must report suspected loss or damage as soon as reasonably possible after discovery, preferably within 48 hours when readily discoverable. Delay may impair investigation but does not waive a right that cannot lawfully be waived.

12.2 The Client must identify the affected item and location, provide available photographs and purchase information, preserve the item and surrounding area, avoid repair or disposal before reasonable inspection unless needed to prevent further damage, and cooperate with the Company and insurer.

12.3 The Company may inspect, obtain an estimate, or refer the matter to its insurer before agreeing to a remedy.

12.4 For ordinary property damage for which the Company is legally responsible, it may arrange reasonable repair, provide a reasonably comparable replacement, or pay actual cash value immediately before loss. Actual cash value means reasonable replacement value less depreciation for age, condition, wear, and useful life. Sentimental, emotional, collector, or special value is excluded unless specifically accepted in writing before Service.

12.5 The Company is not responsible to the extent a condition or loss was caused by pre-existing damage; ordinary wear or deterioration; corrosion, brittleness, oxidation, or age; loose, improperly installed, unstable, or defective fixtures; unsealed or damaged surfaces; deteriorated seals, frames, screens, blinds, or coverings; manufacturer defects; undisclosed special-care requirements; Client-required products or defective Client equipment; or an occupant, pet, contractor, or third party.

12.6 The Company may decline to clean or move fragile, unstable, antique, unusually valuable, or irreplaceable items. The Client must disclose any item valued over $500 that the Client expects Service Personnel to handle or clean.

12.7 The Company is not responsible for undisclosed cash, jewelry, gift cards, negotiable instruments, medications, firearms, documents, or other valuables left unsecured.

12.8 Ordinary residential property-damage cap. To the fullest extent permitted by law, the Company’s aggregate liability for ordinary property damage arising from one Visit will not exceed the lesser of the proven direct loss and $1,000. This cap does not apply to personal injury caused by the Company, fraud, willful misconduct, gross negligence, statutory violations, or liability that cannot legally be limited.

12.9 To the fullest extent permitted by law, neither party is liable for lost profits or indirect, incidental, special, exemplary, or consequential damages arising from ordinary breach.

12.10 If the Company loses a physical key entrusted to it, responsibility is limited to the reasonable documented cost of rekeying locks directly accessible with that key, up to $250, unless a greater amount is required by law. Unrelated upgrades and unaffected systems are excluded.

12.11 Any statement about insurance is informational only and does not create direct policy rights, expand coverage, or increase contractual liability. Evidence of current insurance may be provided when commercially appropriate.

13. Operational Photographs and Service Records

13.1 Subject to the separate Property Documentation Authorization, the Company may take reasonable photographs or silent video of work areas before, during, and after Service to document condition, scope, completion, quality, safety, invoices, and claims.

13.2 The Company will use reasonable efforts to avoid people, confidential documents, account information, and unrelated private material.

13.3 Operational documentation is not authorization for advertising. Public or marketing use requires a separate optional release.

13.4 The Client may request reasonable restrictions before Service. The Company may decline high-risk, move-out, post-construction, exterior, or specialty work if adequate condition documentation is not permitted.

14. Service Personnel and Conduct

14.1 The Company controls assignment, scheduling, staffing, methods, and supervision, subject to the agreed scope and lawful Client safety requirements.

14.2 The Client may communicate priorities but cannot require unsafe, unlawful, unapproved, or off-scope work.

14.3 Service Personnel may not accept direct payment for Company-booked Services or make undisclosed side arrangements. Off-book work is outside Company authorization, insurance, guarantee, and responsibility. Voluntary tips are allowed.

14.4 Threats, harassment, discriminatory abuse, sexual conduct, unsafe behavior, or repeated interference are grounds for immediate suspension or termination.

15. Suspension and Termination

15.1 The Company may immediately suspend or terminate for overdue or reversed payments, repeated late cancellations, unsafe or unlawful conditions, harassment, fraud, material misrepresentation, undisclosed hazards, repeated denial of access, unreasonable interference, material breach, or circumstances making continued Service commercially or operationally unreasonable.

15.2 Except when immediate termination is justified, the Company may end ongoing Services on seven days’ written notice.

15.3 Consumer recurring cancellation is governed by Section 9. Commercial termination is governed by the applicable commercial agreement.

15.4 Termination does not eliminate responsibility for completed Services, approved additions, valid cancellation charges, lawful collection costs, or other earned amounts.

16. Commercial Client Indemnity

16.1 To the fullest extent permitted by law, a Commercial Client will indemnify and hold the Company harmless from third-party claims, fines, losses, and reasonable costs arising from the Commercial Client’s breach, undisclosed hazards, persons or animals under its control, unlawful or unsafe instructions, lack of authority to order Services, or violation of owner, tenant, building, or governmental requirements.

16.2 The indemnity does not apply to the extent a claim was caused by the Company. A Consumer Client is responsible for losses caused by the Client’s pets, hazards, instructions, misrepresentations, or lack of authority only to the extent permitted by law.

17. Events Outside Reasonable Control

17.1 The Company is not responsible for delay or inability to perform caused by severe weather, wildfire, smoke, flood, earthquake, public emergency, utility failure, road closure, labor disruption, illness, governmental order, supply interruption, unsafe conditions, or another event outside reasonable control.

17.2 The Company will reasonably attempt to reschedule and will refund or credit amounts prepaid for Services not performed.

18. Disputes, Governing Law, and Venue

18.1 Except for urgent relief, lawful payment disputes, and collection of an undisputed overdue balance, the parties will first send written notice describing the dispute and make a good-faith effort to resolve it for at least 10 business days.

18.2 Either party may bring an eligible claim in small claims court.

18.3 California law governs without regard to conflict-of-law rules.

18.4 Consumer venue is determined by applicable law. For a Commercial Client, a court proceeding must be brought in a court of competent jurisdiction in Fresno County, California, unless law requires another venue.

18.5 Attorney’s fees may be awarded only when permitted by statute, court rule, court order, or a separately negotiated written agreement.

19. General Provisions

19.1 Entire agreement. The Agreement contains the entire understanding about the applicable Services and replaces prior discussions or representations about those Services.

19.2 Severability. If a provision is invalid or unenforceable, it will be limited or removed only as necessary, and the remainder continues.

19.3 No waiver. Delay or failure to enforce a provision is not a waiver.

19.4 Assignment. The Client may not assign without written consent. The Company may assign in a lawful sale, reorganization, or transfer of the business, subject to applicable consumer rights.

19.5 No third-party beneficiaries. Except as expressly stated, the Agreement benefits only the Company and Client.

19.6 Changes. The Company may update these Terms prospectively with reasonable notice. Changes do not apply retroactively to completed Services or materially alter an existing fixed Service Order without any consent required by law. A recurring Client may cancel before a material change takes effect.

19.7 Notices. Formal notices to the Company must be sent to support@cozykept.com or to the Mailing Address stated at the beginning of these Terms. The Registered Business Address is provided for business identification; correspondence should be sent to the Mailing Address unless the Company gives different written instructions. Formal notices to the Client must go to the address or email stated in the Service Order. Routine scheduling may occur by text, email, telephone, or Jobber.

19.8 Payment, claims, liability, indemnity, dispute, and record provisions survive completion or termination as reasonably necessary.

20. Statutory Cancellation and Consumer Rights

20.1 When a transaction qualifies as a California home-solicitation contract or carries another statutory cancellation right, the Company will provide the required notice and cancellation form, and the statutory right controls over inconsistent terms.

20.2 This section does not replace any required wording, formatting, language, signature, duplicate-form, or delivery requirement.

20.3 Nothing in the Agreement waives automatic-renewal, electronic-payment, consumer-protection, or other rights that cannot legally be waived.

Client Acknowledgment

By signing or electronically accepting the applicable Service Order, the Client acknowledges receiving or having access to these Terms before acceptance; reviewing the scope, rate, minimum, and cancellation policy; understanding that only listed Services are included; authorizing entry as instructed; disclosing known hazards and special-care items; and separately accepting any recurring-service and payment authorization.

Cozy Kept is a trade name of [Robert A. Torres DBA COZY KEPT]. These website terms summarize the rules that apply to our services. Your accepted estimate, work order, recurring-service disclosure, specialty addendum, payment authorization, and the full Client Terms provided before booking together form the agreement. 1. SERVICES AND SCOPE

We perform only the services listed in your accepted estimate or work order. Cleaning is not repair or restoration. Permanent stains, discoloration, mineral etching, corrosion, wear, odors embedded in materials, and pre-existing damage may not be removable. Specialty services such as windows, solar panels, gutters, hard-water treatment, sanitation, post-construction cleaning, and window-covering cleaning may require an addendum.

2. PRICING AND MINIMUM

Quotes are normally valid for 30 days and are based on the information and property condition disclosed to us. Unless your estimate states otherwise, each visit carries a two labor-hour minimum. One labor-hour means one team member working for one hour. If the property or requested work materially differs from what was disclosed, we may revise the price or scope, request written approval for additional work, perform only the original scope, or stop and reschedule.

3. CLIENT RESPONSIBILITIES

You must provide safe and timely access, working utilities, required building authorization, parking information, and accurate alarm, key, gate, and lockbox instructions. Secure pets, children, cash, jewelry, firearms, medications, documents, fragile items, and irreplaceable property. Tell us before the visit about hazards, infestations, mold, asbestos, lead, sewage, bodily fluids, needles, structural issues, loose fixtures, unsealed surfaces, chemical sensitivities, valuable items, or special-care requirements.

4. SAFETY AND EXCLUSIONS

We may refuse or stop unsafe, unlawful, hazardous, undisclosed, or out-of-scope work. Unless specifically included, we do not provide biohazard or hazardous-material remediation, mold or asbestos remediation, pest control, repair or restoration, roof work, heavy-item moving, laundry or bedding service, weapons handling, or construction-debris removal.

5. PAYMENT

Consumer invoices are due when service is completed unless your estimate says otherwise. Commercial invoices are due within seven calendar days unless otherwise agreed. A stored payment method may be charged only under a separate authorization. Overdue balances may accrue simple interest at the lower of 10% per year or the highest lawful rate. We may pause future service, require a deposit or prepayment, and recover lawful collection costs. Clients retain all lawful payment-dispute rights.

6. CANCELLATION AND ACCESS FEES

Notice is measured from the scheduled arrival window:

• 24 hours or more: no fee.

• 12 to less than 24 hours: 50% of the scheduled visit price.

• Less than 12 hours: 100% of the scheduled visit price.

• No-show, denied access, cancellation after dispatch, or a client-controlled safety condition preventing service: 100%.

Rescheduling inside the notice period is treated as cancellation unless we agree otherwise. The fee will not exceed the visit price and will be reduced by material costs actually avoided and replacement revenue directly attributable to filling the same appointment slot.

7. RECURRING SERVICES

Consumer recurring service continues at the frequency and price shown in the separate enrollment until canceled. There is no automatic 12-month consumer commitment under these terms. You may cancel future recurring visits at any time by emailing support@cozykept.com, calling (559) 321-1963, using any online method we provide, or using the same communication method normally used with us. A visit already inside the cancellation period may still carry the applicable fee. We provide recurring disclosures, confirmations, fee-change notices, reminders, and cancellation options as required by law.

8. SATISFACTION GUARANTEE

Report a quality issue within 24 hours after service, identify the specific included area, and provide photos when reasonably available. If the area has not changed and the issue can be corrected through the originally agreed method, we receive one reasonable opportunity to inspect and re-clean it at no additional labor charge. The 24-hour period applies to the complimentary re-clean guarantee only; it does not automatically waive latent damage claims or nonwaivable rights.

9. DAMAGE AND CLAIMS

Report suspected loss or damage as soon as reasonably possible, preserve the item and area, and allow a reasonable inspection. For ordinary property damage for which we are legally responsible, we may repair, replace with a reasonably comparable item, or pay actual cash value after depreciation. We are not responsible to the extent a condition results from pre-existing damage, wear, deterioration, corrosion, brittleness, improper installation, defective fixtures, unsealed surfaces, failed seals, manufacturer defects, undisclosed care requirements, client-required products, client equipment, or third parties.

To the fullest extent permitted by law, our aggregate liability for ordinary residential property damage from one visit will not exceed the lesser of the proven direct loss and $1,000. This cap does not apply to personal injury caused by us, fraud, willful misconduct, gross negligence, statutory violations, or liability that cannot lawfully be limited. Lost profits and other indirect or consequential damages are excluded to the fullest extent permitted by law.

10. PHOTOS AND RECORDS

With the separate Property Documentation Authorization, we may take reasonable photos or silent video of work areas to document condition, scope, completion, safety, quality, invoices, and claims. Operational documentation is not marketing permission. Public or advertising use requires a separate optional release.

11. CONDUCT AND STAFFING

We choose and may substitute service personnel. Team members cannot change prices, waive fees, or make off-book side arrangements. Harassment, threats, discriminatory abuse, sexual conduct, unsafe behavior, or repeated interference may result in immediate termination.

12. COMPANY CANCELLATION AND EVENTS BEYOND CONTROL

If we cancel a prepaid visit, we will reasonably reschedule or refund the amount paid for work not performed. We are not responsible for delays caused by severe weather, wildfire, smoke, utility failure, road closure, illness, public emergency, governmental order, unsafe conditions, or other events beyond reasonable control.

13. LAW, DISPUTES, AND CHANGES

California law governs. Before court action, the parties should provide written notice and try in good faith to resolve the dispute for at least 10 business days. Eligible small-claims cases remain available. We may update these terms prospectively with reasonable notice, but changes do not apply retroactively to completed services or override rights that cannot be waived.

14. CALIFORNIA STATUTORY CANCELLATION RIGHTS

Some transactions made away from the seller's appropriate business premises may carry a statutory cancellation right. When required, we will provide the legally required notice and cancellation form. The statutory right controls over inconsistent terms.
