1. Definitions

•\t“The Company” – Cozy Kept and/or Grime to Prime

•\t“Cleaner” – Any employee, subcontractor, or independent contractor performing cleaning services on behalf of the Company.

•\t“Client” – Any person, business, or organization receiving services from the Company.

•\t“Service” – Cleaning and related services performed by the Company.

•\t“Cleaning Visit” – A scheduled visit to the Client’s address to perform the Service.

2. Contract

•\t2.1 - These Terms constitute a binding agreement between the Company and the Client.

•\t2.2 - Use of the Company’s services (including by phone, text, email, or online booking) signifies acceptance of these Terms.

•\t2.3 - These Terms supersede any other terms unless agreed in writing by an authorized officer of the Company.

•\t2.4 - Any modifications must be approved in writing by an authorized officer of the Company.

•\t2.5 - Minimum charge per Cleaning Visit: 2 hours.

3. Payment

•\t3.1 - All work requested by the Client—whether verbal or written—is billable.

•\t3.2 - Invoices must be paid by the due date shown, via Jobber, cash with receipt, check, or money order.

•\t3.3 - Overdue invoices may accrue interest at 10% per annum or the maximum allowed under California Civil Code § 3289, whichever is lower.

•\t3.4 - Reasonable expenses incurred while servicing the Client will be billed.

•\t3.5 - Consistent late payments may require a 20% pre-payment for future work.

•\t3.6 - The Company may recover reasonable costs related to collection of unpaid invoices, including attorney’s fees where permitted.

•\t3.7 - All prices are in U.S. Dollars, exclusive of any applicable California sales tax.

•\t3.8 - Invoices may be issued monthly or upon project completion.

•\t3.9 - Payment is due within 7 days unless otherwise agreed.

•\t3.10 - Work may be suspended if payment is not received after the 7-day period.

•\t3.11 - Quotes are valid for 30 days.

•\t3.12 - Services may be one-time or ongoing.

•\t3.13 - Additional work outside the original scope will be quoted separately.

•\t3.14 - Pricing may be reviewed and adjusted annually.

⚠️ Risk Mitigation Additions:

•\t3.15 - Authorization to Charge: By booking services, the Client authorizes the Company to charge the payment method on file for services rendered, late fees, materials, or cancellations.

•\t3.16 - Late Fee Policy: Repeated late payments may require deposits or pre-payment.

4. Equipment

•\t4.1 - The Company provides cleaning materials unless the Client requests use of their own.

•\t4.2 - Client must provide instructions for any specialized equipment.

•\t4.3 - The Company is not liable for damage resulting from use of the Client’s equipment.

5. Checklists

•\t5.1 - Clients may request a Company checklist or provide their own priority list for each visit.

6. Refunds

•\t6.1 - No refunds are issued after a service is completed; issues must be reported within 24 hours for correction.

•\t6.2 - A refund is issued if the Client cancels with at least 24 hours’ notice and has prepaid.

•\t6.3 - A refund is issued if a Cleaner fails to attend a prepaid appointment.

7. Cancellation

•\t7.1 - Full charge applies if:

\t•\ta) A cancellation or reschedule occurs with less than 24 hours’ notice.

\t•\tb) The Cleaner is denied access to the property.

\t•\tc) Provided keys do not operate properly.

•\t7.2 - The Company will attempt to accommodate schedule changes with 24-hour notice.

•\t7.3 - Services scheduled on U.S. federal or California state holidays will be billed unless cancelled 24 hours prior.

8. Termination

•\t8.1 - Client may terminate after the initial 12-month term with 30 days’ written notice.

•\t8.2 - Early termination within the 12-month term requires payment of the remaining balance.

•\t8.3 - If less than 30 days’ notice is given, a cancellation fee equal to 30 days of service applies.

•\t8.4 - California law does not require service or staff transfers under change of ownership or transfer between property management companies.

9. Claims

•\t9.1 - The Company maintains liability insurance up to [$1,000,000], with a $0 deductible for all Clients.

•\t9.2 - Issues must be reported within 24 hours (or by Monday 12:00 PM if occurring on Saturday).

•\t9.3 - Clients may not stop payment on a check, card transaction, or bank payment unless the Company fails to uphold its guarantee of returning to re-clean areas the Client is dissatisfied with.

•\t9.4 - Clients must store irreplaceable/fragile items prior to cleaning.

•\t9.5 - Damaged items will be repaired or credited at actual cash value.

•\t9.6 - Company is not responsible for damage resulting from improper installation of fixtures or unsealed surfaces, or any pre-existing damage present prior to the initial cleaning.

•\t9.7 - Fraudulent claims may be pursued as permitted under California law.

•\t9.8 - Key loss liability is limited to $30 per location.

⚠️ Risk Mitigation Additions:

•\t9.9 - Damage Disclaimer: The Company is not responsible for pre-existing damage, brittle materials, oxidized frames, deteriorated seals, or manufacturer defects.

•\t9.10 - Scope of Work: Services include standard, deep, move-in/move-out cleaning, exterior cleaning, solar, gutters, windows, and sanitation unless otherwise specified.

•\t9.11 - Safety Disclosure: Service may be postponed if unsafe conditions exist, including unsecured pets, hazardous materials, unsafe ladders, unsafe weather, or structural instability.

10. Complaints

•\t10.1 - All complaints are handled seriously; clients should report issues immediately.

•\t10.2 - If dissatisfaction occurs during the service, the Client must notify the Company promptly.

11. Liability

•\t11.1 - The Company is not liable for delays due to circumstances beyond its control.

•\t11.2 - Company is not liable for incomplete services due to lack of electricity, hot water, or third-party interference.

•\t11.3 - Pre-existing damage or permanent stains are not the Company’s responsibility.

•\t11.4 - To the fullest extent permitted under California law, the Company is not liable for indirect, incidental, or consequential damages.

12. Supplementary Terms

•\t12.1 - Key pickup or drop-off to third-party locations: $20 fee per trip.

•\t12.2 - Rates may be adjusted if service requirements change.

•\t12.3 - Quotes may be amended if the property condition differs from expectations.

•\t12.4 - Time estimates are approximations only.

•\t12.5 - Pricing may vary based on property size and condition.

•\t12.6 - The Company will attempt to provide a replacement Cleaner when possible.

•\t12.7 - Post-construction or neglected properties may require additional time.

•\t12.8 - Cleaners do not clean laundry or bedding of any kind.

•\t12.9 - Fragile/breakable items must be removed or secured.

•\t12.10 - The Company may update these Terms with reasonable notice to the Client.

13. Guarantee

•\t13.1 - If the Client is dissatisfied with any cleaned area and reports it within 24 hours, the Company will re-clean the area at no additional charge, provided the condition has not changed since the original visit and the area of the re-cleaning was free of any pre-existing damage prior to the initial cleaning.
